Affiliate Program Terms & Conditions

Effective Date: 5.1.2025

These Affiliate Terms & Conditions (“Agreement”) govern participation in the ACE SKIN CARE LLC. Affiliate Program (“Program”). By applying to or participating in the Program, you (“Affiliate”) agree to be bound by this Agreement.

1. Program Enrollment

1.1 Eligibility. You must be at least 18 years old and have a valid tax identification number to participate.
1.2 Application. Submit a complete and accurate application via our affiliate platform. We reserve the right to approve or reject any application at our sole discretion.

2. Affiliate Obligations

2.1 Promotion. Affiliate may promote NISCESKINUSA products using approved marketing materials only.
2.2 Compliance. All promotional activity must comply with applicable laws, including FTC endorsement disclosure guidelines, CAN‑SPAM, and platform‑specific advertising rules.
2.3 Prohibited Content. Affiliates may not engage in spam, misleading claims, coupon sites without permission, or any content that is defamatory, obscene, or illegal.

3. Tracking & Cookies

We track referrals through cookies placed when a user clicks an approved affiliate link. Standard cookie duration is 30 days unless otherwise stated.

4. Commissions

4.1 Rate. To be discussed on a per affiliate basis.
4.2 Reversals. Commissions are voided for refunded, fraudulent, or cancelled orders.

5. Payments

5.1 Schedule. Commissions are paid on the [15th] of each month for qualifying sales recorded at least 30 days prior.
5.2 Threshold. Minimum payout threshold is US $[50]. Balances below the threshold roll over to the next period.
5.3 Method. Payments are made via check Affiliate is responsible for any transfer fees and providing accurate payment details.

6. Term & Termination

6.1 Term. This Agreement begins upon acceptance and continues until terminated.
6.2 Termination by Either Party. Either party may terminate the Agreement at any time with or without cause, effective upon written notice.
6.3 Effect of Termination. Upon termination, Affiliate must remove all affiliate links and marketing materials. Outstanding qualified commissions will be paid on the next payout date.

7. Intellectual Property

All trademarks, service marks, logos, and content provided by NISCESKINUSA remain our exclusive property. Limited, non‑exclusive, revocable license granted for use solely in connection with the Program.

8. Limitation of Liability

ACE SKIN CARE LLC.  will not be liable for indirect, special, or consequential damages (including lost profits) arising in connection with this Agreement or the Program.

9. Indemnification

Affiliate agrees to indemnify and hold harmless ACE SKIN CARE LLC.  and its officers, employees, and agents from any claims or damages arising from Affiliate’s participation in the Program or breach of this Agreement.

10. Relationship of Parties

Nothing in this Agreement creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Affiliate is an independent contractor.

11. Modification of Terms

We may modify these Terms at any time. Continued participation after a change constitutes acceptance. Material changes will be communicated via email or the affiliate portal at least 7 days before taking effect.

12. Governing Law

This Agreement is governed by the laws of the State of [State], without regard to conflict of law principles.

13. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the Program and supersedes all prior agreements or representations.
